1. Services

SMI Seller Solutions provides ecommerce consulting, optimization, and management services. Scope is defined in each engagement agreement or proposal.

2. Client responsibilities

Clients agree to provide accurate information, timely approvals, and access to necessary accounts or data to complete services.

3. Fees and payment

Fees, billing cadence, and payment terms are defined in the applicable service agreement. Late payments may delay deliverables.

4. Confidentiality

Both parties agree to protect confidential business information shared during the engagement.

5. Intellectual property

Unless otherwise agreed, materials produced for the client are transferred upon full payment, while proprietary tools and frameworks remain with SMI Seller Solutions.

6. Limitation of liability

We are not liable for indirect or consequential damages. Results depend on marketplace conditions, inventory, pricing, and other factors outside our control.

7. Termination

Either party may terminate with written notice according to the engagement agreement. Work completed up to the termination date remains billable.
